Terms of Service

1. Acceptance of these Terms

These Terms of Service (the "Terms") govern your access to and use of edits.gg (the "Service", "edits.gg", "we", "us", "our"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

A "Campaign" is something a Brand wants promoted, such as a song, a game or a product, made available on the Service by a Brand, with a stated rate and budget. An "Edit" is a short-form video you post on a third-party platform using a Campaign's subject. A "Submission" is an Edit you have submitted to a Campaign through the Service. An "Editor" is a user who makes and submits Edits. A "Brand" is a user who funds a Campaign, including a record label, artist, or company. A "Verified View" is a view counted by us against a Submission from the moment it is accepted, as described in section 8. "Earnings" are amounts accrued against Verified Views. Your "Balance" is the amount shown to you on the Service, which is calculated from your Earnings and any payouts already requested or sent, and is not a stored account balance.

3. Eligibility and age

You must be at least 13 years old to use the Service. We do not knowingly allow anyone under 13 to create an account. If we learn that an account belongs to someone under 13 we will close it and delete the associated personal information.

If you are under 18, a parent or legal guardian must read and accept these Terms on your behalf, and by using the Service you confirm that they have done so. Where these Terms are accepted on behalf of a person under 18, that parent or guardian is a party to these Terms with that person, and is responsible together with them for the obligations in these Terms, including the warranties in section 16, the tax responsibilities in section 11, and the indemnity in section 20. Consent by a parent or guardian is not merely permission for the account to exist.

We may ask for confirmation of a parent or guardian's consent at any time and may suspend an account until it is provided.

4. Accounts

You are responsible for the security of your account and for everything done through it. One person may hold one account. You must give accurate information when you register and keep it up to date. You may not sell, rent or transfer an account, and you may not create an account to evade a suspension.

5. The Service, and the two kinds of account

edits.gg connects Brands with Editors. Brands fund Campaigns. Editors post Edits for a Campaign on third-party platforms such as TikTok, and earn money based on the Verified Views those Edits receive, at the rate stated by the Campaign.

An account is set up as an Editor account or a Brand account. That choice decides which parts of the Service you see and where you land when you sign in. It is not a permission boundary in itself, and it does not change the obligations in these Terms.

6. Campaigns, for Brands

When you create a Campaign you set the rate per million views and the total budget. The budget is the maximum that can be earned against that Campaign by all Editors combined. Our fee is charged on top of the budget at the rate shown to you before you commit, and is not taken out of the budget, so the full budget remains available to Editors.

When we approve a Campaign we invoice you for the budget and the fee, in US dollars. A Campaign becomes visible to Editors only after we have reviewed it and the amount due has been received. We may decline a Campaign, ask for changes, or remove a live Campaign if it breaks these Terms, infringes someone else's rights, or would put us in breach of a third-party platform's rules.

You may pause a Campaign or change its budget or rate while it is running. A change to the rate applies only to Edits submitted after the change: an Edit keeps the rate that applied when it was submitted, for every view it ever receives. A budget cannot be reduced below the amount already earned against it.

Budget that is never earned against is not spent. When a Campaign is completed, the unspent part is credited back to your balance on the Service, where it can fund another Campaign; it is not refunded to your payment method. Amounts already earned by Editors are not refundable, including where you choose to end a Campaign early. Our fee is not refundable once a Campaign has gone live.

We review and decide every Submission. You write the brief and set the requirements, and anything that breaks the brief is rejected and earns nothing, but you do not have the ability to reject an individual Submission or to remove an Editor yourself. If you believe a Submission should not have been approved, tell us and we will look at it.

Any limits you set on a brief, including limits per post, per profile or per account, are shown to Editors as part of the Campaign's requirements. Some of these limits are presented on the brief and are not currently applied automatically when Earnings are calculated. Where that is the case they operate as stated requirements which we enforce on review, rather than as automatic caps.

Work that comes out of a Campaign is paid for through the Service. For 12 months after a Campaign ends, a Brand must not pay an Editor directly, and an Editor must not accept direct payment from a Brand, for a Submission made to that Campaign or for work that came out of it. Where we believe on reasonable grounds that this has happened we may suspend or close either account. Nothing here stops a Brand and an Editor working together on something unconnected to a Campaign run here.

7. Campaigns and Submissions, for Editors

Campaigns are offered as they are. A Campaign can be paused, completed or removed at any time, its budget can run out, and nothing on the Service guarantees that a Campaign will be available when you come to submit.

Before you can submit, you must link and verify the account you post from. A TikTok account is linked by signing in with TikTok. A YouTube channel is linked either by placing a short code we give you into the channel's public description, which we then check, or by signing in with Google. Where you sign in with a platform we store the tokens it issues us. Those tokens give us read access only, to your profile, your follower or subscriber count, and your own posts and the view counts on them, which is what Earnings are calculated from. Our Privacy Policy sets out each permission and what it covers. We never ask for your password to a third-party platform, and we cannot post, change or delete anything from your account. You can withdraw that access at any time by disconnecting the account, or from the platform's own settings.

By submitting an Edit you confirm that the post is yours, that it was posted from an account you have verified with us, that you made the Edit or otherwise have the right to post it, and that it follows the Campaign's brief. A post made before the Campaign existed is not eligible, because it cannot have been made for that Campaign. A post that has already been submitted, by you or by anyone else, cannot be submitted again.

Every Submission is reviewed by a person. We may approve or reject a Submission, and we may reverse a decision if new information comes to light. A rejected Submission earns nothing. We do not promise a review turnaround time.

An Edit may be submitted to one Campaign only. Re-cutting or re-uploading the same Edit so that it can be submitted to a second Campaign is not permitted, and a Submission that breaches this earns nothing.

8. Verified Views and Earnings

Earnings accrue on Verified Views at the Campaign's rate, frozen at the rate that applied when the Submission was made.

We read view counts from the third-party platform on a schedule rather than continuously, so the figure shown on the Service can differ from the figure shown on the platform at any given moment. The figure we record is the one Earnings are calculated from. We track a Submission until its Campaign ends. Earnings are also limited by the Campaign's budget, so once a budget is fully earned against, further views on that Campaign do not accrue Earnings.

Views that were received before you submitted an eligible Edit are counted, because the platform's counter is cumulative.

A figure we release is final 30 days after it is released. If you think a view count or an Earnings figure is wrong, tell us within those 30 days and we will look at it again. After that we treat the figure as accepted. Nothing in this paragraph limits a right you have under law that cannot be excluded by agreement.

9. Fraud and clawback

You must not inflate or manipulate the performance of an Edit. That includes buying or generating views, likes, comments, shares or followers, using bots, scripts, automation or view exchanges, paying or offering anything in return for engagement, and interfering with anyone else's account or metrics.

That also covers paid promotion of any kind, including a platform's own promote or boost tools and any advertising placement; engagement groups and like-for-like or follow-for-follow arrangements; and collaboration posts, duets, reposts or shoutouts from accounts you do not control where they are used to move the numbers on a Submission. A Submission's view count must be publicly visible on the platform. We cannot verify a post whose statistics are hidden, so it cannot earn.

Where we believe on reasonable grounds that engagement has been manipulated, or that a Submission was not genuinely yours, or that a Submission otherwise breached these Terms, we may reject or reverse the Submission, remove the associated Earnings, suspend or close the account, and withhold any amount not yet paid out. Where an amount has already been paid out, we may recover it, including by setting it off against future Earnings.

We will tell you the reason for a decision under this section, and you may ask us to look at it again.

10. Payouts

Earnings accrue while a Campaign runs and are shown as pending. They become withdrawable only after the Campaign has been completed and we have reviewed and released the Campaign's Earnings. Both steps are required. Until then the amount is shown to you but cannot be withdrawn.

Withdrawals are opened by us, and they are not open at the moment. Earnings continue to accrue, stay visible on your account and stay payable to you. What is not available is the transfer itself: there is no way to request one until we open withdrawals, and we will say when that is. You can save a payout destination now so there is nothing outstanding when they do.

Payouts are made to the PayPal address saved on your account. The minimum withdrawal is US$20. Transfers are made manually, so a withdrawal is not instant, and we may hold a request while we check it. You are responsible for the accuracy of the payout details you save, and we are not responsible for money sent to an address you gave us in error.

If the account belongs to a person under 18, the payout destination must be an account held and controlled by the parent or guardian who accepted these Terms, and payment to that account discharges our obligation in full.

A post that has been paid for must stay public and unedited for 30 days after payout. If it is deleted, hidden, or materially edited within that period, we may recover the amount paid for it, including by setting it off against future Earnings.

We are not a bank and we do not hold money on your behalf. The amount shown to you is a calculation of what you have earned less what has already been requested or sent, not a deposit.

11. Taxes

You are responsible for any tax on amounts you receive through the Service, and for any reporting or registration that applies to you. Where the account belongs to a person under 18, that responsibility sits with the parent or guardian who accepted these Terms. Amounts are paid gross. We do not withhold tax and we do not give tax advice.

12. Your content and the licence you give us

You keep ownership of the Edits you make. By submitting an Edit you give us a non-exclusive, worldwide, royalty-free licence to display, link to, embed, store and reproduce it on the Service and in reporting to the Brand whose Campaign it was submitted to, for as long as your Submission is on the Service.

A Brand can see and report on an Edit submitted to its Campaign through the Service. That does not give the Brand any right to reuse, re-license, edit or publish the Edit elsewhere, and any such use needs a separate agreement with you. A Brand cannot see what an individual Editor has earned.

We may show an Edit, a handle or a Campaign in our own marketing of the Service. If the account belongs to a person under 18 we will ask for the parent or guardian's specific consent first. You can ask us to stop using your Edit in our marketing at any time and we will.

A Brand confirms that it holds the rights to the Campaign subject and any other material it supplies for a Campaign, and that Editors using them as the brief describes will not infringe anyone else's rights.

13. Disclosure of paid promotion

You are being paid to promote a Brand's Campaign, which is a material connection you have to disclose to the people who see your Edit. You must make that disclosure clearly and in the way the platform you post on and the law that applies to you require, which may include using the platform's own paid partnership or branded content tools. This obligation is yours, and it applies whatever a Campaign's brief says.

14. Third-party platforms

The Service depends on third-party platforms including TikTok, YouTube and PayPal. We do not control them. We do not control how a platform counts views, what it moderates, whether it keeps your account open, or whether it changes its rules. You are responsible for complying with the terms of any platform you use.

If a platform removes a post, restricts an account, changes a view count, or stops giving us access to the data we rely on, an Edit may stop being eligible or a figure may change. We are not liable for that, and we are not liable for anything a third-party platform does or fails to do.

15. Acceptable use

You must not use the Service to break the law or a platform's rules, to post content you do not have the rights to, or to post content that is hateful, harassing, sexual, violent, or otherwise inappropriate for the Campaign it is submitted to. You must not attempt to access another person's account or data, interfere with or overload the Service, scrape it, reverse engineer it, or circumvent any security or rate limit.

16. Your representations and warranties

You confirm that the information on your account is accurate, that you have the legal capacity to agree to these Terms or that a parent or guardian has agreed on your behalf, that you own or have the rights to everything you submit, that every account you link is genuinely yours, that you will comply with the law and with the rules of every platform you post on, and that you will not do anything described in section 9.

17. Our intellectual property

The Service, including its software, design, text, and the edits.gg name and marks, belongs to us. These Terms give you no right to use them beyond using the Service as intended. You may not copy, scrape, frame or reverse engineer the Service, or use our name or marks without our written permission.

18. Copyright complaints

If you believe something on the Service infringes your copyright, email us at support@edits.gg with enough detail to identify the work and the material you say infringes it, where it is on the Service, your contact details, and a statement that you believe in good faith that the use is not authorised. We will look into it and remove or disable material where appropriate. We may pass your notice on to the person who posted the material, and we may close the accounts of people who repeatedly infringe.

19. Independent parties

Editors and Brands are independent of us and of each other. Nothing in these Terms creates an employment relationship, a partnership, a joint venture, or an agency between you and us. You decide whether to take on a Campaign, when to post, and what to make.

20. Indemnity

You agree to indemnify us against any claim, loss, or cost arising from your use of the Service, from anything you submit or post, from your breach of these Terms, or from your breach of anyone else's rights. Where the account belongs to a person under 18, this obligation applies to the parent or guardian who accepted these Terms.

21. Suspension, termination and deletion

You can stop using the Service at any time. You can delete your account from the Danger zone at the bottom of Settings in your dashboard, or ask us to at support@edits.gg. We cannot delete an account while something is owed to you, so any balance has to be paid out first. For 30 days after you delete it, signing back in restores the account. After that it cannot be restored, and we remove it as described in our Privacy Policy.

We may suspend or close an account that breaches these Terms, and we may do so immediately where we believe on reasonable grounds that money or another person is at risk. Where we close an account, Earnings that have already been released and are withdrawable remain payable to you, unless they relate to conduct described in section 9. Earnings that are still pending on a Campaign that has not been released may be withheld if they relate to that conduct.

22. Disclaimers

The Service is provided as it is. We do not promise that it will be uninterrupted or error free, that any Campaign will be available, that any Edit will be approved, or that you will earn any particular amount or any amount at all. Nothing on the Service is a projection or a guarantee of income.

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. Where a guarantee applies and cannot be excluded, our liability is limited to resupplying the service or paying the cost of having it resupplied, to the extent the law allows.

23. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, or for lost profits, lost earnings, lost data, or loss of goodwill. To the extent the law allows, our total liability to you for all claims in any 12-month period is limited to the greater of the amounts we paid you and the amounts you paid us in that period.

24. Resolving a dispute

If something goes wrong, contact us first at support@edits.gg and describe the problem and what you want done about it. We will try to resolve it with you directly, and most things are settled this way. If we cannot resolve it within 30 days, either of us may take the matter further.

25. Governing law

These Terms are governed by the laws of Australia. The courts of Australia have jurisdiction over any dispute arising from them, and nothing in this section prevents you from bringing a claim in a court in the place where you live if the law gives you that right.

26. Changes to these Terms

We may update these Terms. When we do, we will change the date at the top of this page, and where the change is significant we will give notice on the Service or by email. Continuing to use the Service after a change means you accept the updated Terms. If a change is made while you have Earnings pending, the version in force when those Earnings accrued continues to apply to them.

27. General

If any part of these Terms is found to be unenforceable, the rest continues to apply. If we do not enforce a right straight away, that is not a waiver of it. We may transfer these Terms to another party if our business is transferred; you may not transfer them without our written permission. Neither of us is liable for a failure caused by something outside our reasonable control. These Terms, together with our Privacy Policy and Cookie Policy, are the whole agreement between us.
